Terms of Service
These Terms of Service ("Terms") are an agreement between you and Mori AI, Inc. ("Mori", "we", "us"). They govern your use of the mori.xyz website, the Mori applications, and any related services we provide (together, the "Services"). By using the Services you agree to these Terms. If you do not agree, do not use the Services.
If you install the Mori app, the User Agreement also applies and sets out the licence under which you may use the software. Our Privacy Policy explains how we handle your information. Both are part of these Terms.

1. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to use the Services. If you use the Services on behalf of an organization, you confirm that you are authorized to bind that organization to these Terms, and "you" includes the organization.
Your Mori identity is a cryptographic key pair created on your device. You are responsible for keeping your private key and your devices secure and for everything done through your identity. Tell us at once at [email protected] if you believe your identity has been compromised.
2. Workspaces and Workspace Owners
The Services are organized into workspaces. A workspace is created and administered by a person or organization (the "Workspace Owner"). The Workspace Owner controls who is a member, which channels exist, which agents are enabled, and how long content is kept. The Workspace Owner can access, export, and delete content in the workspace, including content you posted.
If you join a workspace administered by someone else, your use of that workspace is also subject to that Workspace Owner's own policies. Disputes about a workspace's content or membership are between you and the Workspace Owner.
3. Beta and closed-test access
Parts of the Services are made available as a beta or closed test. Access requires an invitation from Mori or from a Workspace Owner. Beta features may change, break, or be withdrawn without notice. We may collect additional diagnostic information during a beta to find and fix problems, as described in the Privacy Policy.
4. Your content
You own the messages, files, photos, and other material you post to the Services ("Your Content"). You grant Mori a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and process Your Content solely as needed to provide the Services to you and your workspace, including making it available to the other members and agents of the conversations you post it in. This licence ends when Your Content is deleted from the Services, except where it has already been shared with others or where we must keep it to comply with law.
You are responsible for Your Content. You confirm that you have the rights needed to post it and that it does not violate these Terms or the rights of anyone else. We do not claim ownership of Your Content and we do not use it to train AI models.
5. Acceptable use
You agree not to use the Services to:
- break the law, or help anyone else to;
- post content that is unlawful, defamatory, harassing, hateful, sexually explicit involving minors, or that infringes someone's intellectual property or privacy;
- impersonate any person or organization, or misrepresent your affiliation;
- send spam, malware, or unsolicited bulk messages;
- probe, scan, or test the vulnerability of the Services without our written permission, or interfere with their operation;
- access workspaces, channels, or content you are not a member of, or attempt to bypass access controls;
- reverse engineer, decompile, or extract source code from the Services except where the law expressly allows it;
- resell, sublicense, or provide the Services to third parties as a service bureau, except as permitted in writing by Mori;
- use the Services to develop a competing product; or
- use automated means to collect information from the Services beyond what the Services are designed to provide.
6. AI agents
The Services include AI agents that read conversations they are members of and generate replies. Agent output is produced automatically and may be inaccurate, incomplete, or inappropriate. You must use your own judgement before relying on it, and you are responsible for any decisions or actions you take based on it. Do not use agents for medical, legal, financial, or other professional advice without independent verification, or in any application where an error could cause injury or serious harm.
Where an agent is powered by a third-party model provider, that provider's terms may also apply to the content sent to it. Your Workspace Owner chooses which providers are enabled.
7. Our intellectual property
The Services, including the Mori software, design, name, logo, and the tree mark, are owned by Mori AI, Inc. and its licensors and are protected by copyright, trademark, and other laws. These Terms do not give you any right to use the Mori name or marks. Portions of the Mori software include open-source components used under their own licences, which are identified in the software.
8. Feedback
If you send us ideas, suggestions, or bug reports, you agree that we may use them without any obligation to you. We will not claim that your feedback was ours, and we will not use your name without permission.
9. Third-party services
The Services rely on third-party services such as cloud hosting, email delivery, push notification services provided by Apple and Google, and AI model providers. We are not responsible for third-party services, and your use of them may be subject to their terms. Links from the Services to third-party sites are provided for convenience and are not an endorsement.
10. Fees
The Services are currently provided free of charge during the closed test. If we introduce paid plans, we will publish the prices and terms in advance, and continued use of a paid feature after that notice will be subject to those terms. Nothing in these Terms obliges us to keep any feature free.
11. Suspension and termination
You may stop using the Services at any time. You can leave a workspace in the app or by asking the Workspace Owner, and you can ask us to delete your account as described in the Privacy Policy.
We may suspend or terminate your access if you breach these Terms, if required by law, if a Workspace Owner removes you, or if we discontinue the Services. Where practical we will give you notice. Sections that by their nature should survive termination (including Sections 4, 7, 8, 12, 13, 14, 15, and 17) will survive.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, MORI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MORI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT AGENT OUTPUT WILL BE ACCURATE OR RELIABLE. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MORI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MORI'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID MORI FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above may not apply to you.
14. Indemnity
If you use the Services on behalf of an organization, that organization agrees to defend, indemnify, and hold harmless Mori from any claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, or your breach of these Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to the personal jurisdiction of those courts. If you are a consumer in the European Union or United Kingdom, nothing in this section deprives you of the protection of mandatory consumer laws in your country of residence.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. We will try to do the same.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and change the date at the top. For material changes we will give notice in the app or by email at least 14 days before they take effect. Your continued use of the Services after the effective date means you accept the updated Terms.
17. General
These Terms, together with the User Agreement and Privacy Policy, are the entire agreement between you and Mori about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries except as stated in the User Agreement. Notices to you may be given in the app or by email; notices to us should be sent to the address below.
